    RESPONSIBILITIES AND QUALIFICATIONS

    Duties: Vice President with Goldman Sachs & Co. LLC in San Francisco, California. Multiple positions available. Provide strategic and financial advice to, and develop close relationships with a wide-range of C-level executives in the technology (including the software, internet, hardware, and IT services sectors), media (including the entertainment, digital gaming, and sports sectors), and telecommunications industry. Prepare and deliver presentations and pitches to C-level executives on topics including strategic alternatives, capital structure, potential M&A and financing transactions, and industry trends. Perform deep-dive valuation and other financial analyses (including discounted cash flow, leveraged buyout, merger consequences, comparable companies, and precedent transactions) during buy-side or sell-side M&A or financing processes (e.g., impact of issuing equity, debt, or repurchasing shares) to present to corporates, financial sponsors, and private clients. Analyze accounting and regulatory statements, debt and equity filings and documents, financial projections, and models to support analyses. Draft financing (including bank books, lender presentations, and rating agency presentations) and marketing (including confidential information memorandums, management presentations, and teasers) materials to assist clients in their presentation to potential buyers of the company or their securities and other relevant third parties. Topics typically include company positioning, overview of products, competitive analysis, size and growth factors of relevant end markets, growth opportunities, financial performance, expected performance, and key performance drivers. Manage investment banking associates and analysts in all aspects of financial modeling and assist in the creation and review of legal documents that detail the structure of the transaction. Lead all aspects of executing financial transactions, which includes, but is not limited to, interacting with client management, or potential buyers, on a daily basis, analyzing financial statements, conducting due diligence, drafting financing or marketing materials, and preparing debt, equity, or merger filings and regulatory documents (including SEC-filed documents, press releases, and merger proxies). Attend in-person or telephonic due diligence sessions with senior executives at a company’s facilities, or with suppliers, customers, and other related parties in order to evaluate the veracity of a company’s business model and end market, historical and projected financial performance, and other factors. Lead, manage, mentor, and train multiple teams of investment banking associates and analysts.

     

    Job Requirements: Master’s or Bachelor’s degree (U.S. or foreign equivalent) in Economics, Finance or a related field. Three (3) years of experience (with Master’s degree) or five (5) years of experience (with Bachelor’s degree) in the job offered or related investment banking position. Prior work experience must include three (3) years of experience (with Master’s degree) or five (5) years of experience (with Bachelor’s degree) with: Structuring, analyzing and executing transactions in excess of $1bn on behalf of companies in the technology, media and telecom industry; Performing valuation analyses for companies in the TMT sector, including discounted cash flow analysis, leveraged buyout analysis, accretion/dilution and ability-to-pay analysis, public trading comparables, precedent transactions, and sum-of-the-parts analysis; Executing financing transactions in excess of $100 million including IPOs, equity offerings, and debt offerings; Engaging in dialogue and liaising with other senior bankers, clients, and product experts to execute projects, provide updates and prepare presentation materials as it relates to equity and debt underwriting and mergers and acquisitions; Consulting with tax and legal experts to determine appropriate structuring for financing and mergers and acquisitions; Managing live deal execution, including running due diligence processes, negotiating non-disclosure agreements and other legal documents with lawyers and potential buyers, organizing and attending deal and non-deal roadshows, and liaising with investment banks; Supervising, guiding and coordinating junior professionals’ work product, including reviewing financial modeling work and presentations prepared for live deals, corporate board meetings, investment banking pitches and client service projects on corporate finance topics; Advising clients including public and private corporates and private equity firms with enterprise values in excess of $1 billion; Developing relationships with key decision makers (C-Level executives) at investment banking clients; and Presenting to CEO / CFO level corporate clients in the technology, media and telecom sectors on topics such as strategic alternatives, capital markets activities, restructuring alternatives and corporate governance issues at board meetings and pitches and on conference calls. FINRA Series 79 required. Travel required (domestic and international) approximately 20% to visit clients and attend industry meetings.
