    Work Schedule: 40 hours per week (9:00 a.m. to 6:00 p.m.)

    RESPONSIBILITIES AND QUALIFICATIONS

    Duties: Vice President with Goldman Sachs & Co. LLC in New York, New York. Advise Financial Services companies and lead execution of transactions through thorough understanding of deliverables, timing and scope of work for clients in M&A sell- and buy-side (both U.S. and cross-border), equity, debt, private placement and other capital markets transactions. Apply advanced understanding of both U.S. GAAP and U.S insurance statutory accounting standards to evaluate financial statements in order to build, review and oversee completion of financial models, analyze businesses, and value financial services companies. Use corporate finance and U.S. GAAP and U.S. insurance statutory accounting concepts to build, review and oversee valuation analyses for financial services companies, including operating models, discounted cash flow model, ability-to-pay, merger plans, accretion / dilution, capital impact, and purchase accounting impact analysis. Utilize knowledge of U.S. and global financial institutions, and insurance regulations to provide valuation advisory work for clients. Utilize knowledge of U.S and global operating environment for financial institutions to estimate potential strategic and cost synergies from M&A transactions. Utilize knowledge of actuarial appraisals prepared by third party actuarial advisors to provide guidance on assumptions when applicable, review cash flows and regulatory capital projections, assess potential synergies and stranded costs, and perform valuation of insurance companies. Build and enhance relationships with financial services companies and private equity funds, through continual dialogue, meetings and presentation of ideas, analysis and advice to senior executives and Boards of Directors. Understand and utilize discretionary decision making authority in client discussions to negotiate M&A merger contracts, non-disclosure agreements, financing and commitment term sheets and other legal documentation in the context of an advisory and capital market transaction. Lead and coordinate due diligence efforts including liaising with lawyers, accountants, actuaries, and other advisors to facilitate transactions. Oversee the creation of deal-related documents including marketing materials, investor presentations, information memoranda, and internal committee memoranda. Establish and build relationships in the Financial Services space with regular business travel. Lead multiple analyst and associate teams including review of presentation and analysis, determining presentation content and providing guidance on content and structure of financial models, while coordinating with senior bankers and various product experts throughout the firm. Utilize Microsoft Word, Power Point and Excel including detailed logic and finance formulas, data tables, filters, and pivot tables to reference and analyze large quantities of data and facilitate financial modeling. Provide technical, presentation, industry specific and firm specific training to analysts and associates. Recruit and mentor Analysts and Associates.  

     

    Job Requirements: Master’s or Bachelor’s degree (US or foreign equivalent) in Finance, Economics, or a related field. Three (3) years of experience with a Master’s degree or five (5) years of experience with a Bachelor’s degree in the job offered or in a related investment banking role. Prior work experience must include three (3) years of experience with a Master’s degree or five (5) year of experience with a Bachelor’s degree with: Executing strategic transactions generally in excess of $200 million in transaction value including mergers, acquisitions, and capital raises within the insurance sector; Leading teams, while coordinating closely with senior teams and executives, in advising Financial Services companies and executing transactions; Ensuring compliance with timing, deliverables and scope of work for clients in M&A and capital markets transactions; Evaluating income statements, cash flow statements, balance sheet and schedule of accounts in order to model and analyze cash flows, growth, margins, profitability, liquidity, and leverage; Developing valuation analyses including discounted cash flow (DCF), trading comparables, precedent transactions, and sum-of-the-parts analysis; Liaising with Lawyers, Accountants, and other advisors to facilitate buy-side and sell-side transactions; Utilizing Microsoft Word, Power Point and Excel including detailed logic and finance formulas, data tables, filters, and pivot tables to reference and analyze data and facilitate financial modeling; Analyzing financial data for financial institutions in order to build and review models; Analyzing U.S. GAAP and U.S. regulatory accounting statements for financial services companies; and Presenting to clients on financial transactions and market updates, and building and maintaining client relationships. FINRA Series 79 required. Travel required to attend client meetings (20% of the time).
